ANNUAL GENERAL MEETING OF MEMBERS – JULY 2, 2010

Dragon Boat Canada / Bateau-Dragon Canada (DBC) is directed by an eleven-member volunteer board of directors, one of whom is designated a Festival Director. Directors are elected bi-annually to a two-year term of office. At the annual general meeting to be held on July 2, 2010, Club Members of each Region may elect two Directors for that Region and Festival Members may elect one Director (the Festival Director).

Dragon Boat Canada is the official governing body for the sport of dragon boat racing in Canada, and is recognized as such, internationally, by the International Dragon Boat Federation (IDBF).

DBC provides support and services designed to foster the orderly development of the sport in Canada.

Dragon Boat Canada is a federally incorporated not-for-profit corporation, governed by an elected Board of Directors.

The board is comprised of members representing three regions of Canada. East: Maritime Provinces and Quebec, Central Ontario, Manitoba and Nunavut and West: Western provinces, Northwest Territories and Yukon.

The board is chaired by an elected President and the day-to-day operations are supported by an Executive Director.

Re: Notice of Annual General Meeting of Members


Notice is hereby given that an annual general meeting of members (the “Meeting”) of DBC will be held on Friday, July 2, 2010, at 7:00 p.m. (Pacific time) in the Delta Hotel, Whistler Village Suites, 4308 Main Street, Whistler, British Columbia, for the following purposes:
1. to receive the financial statements for the year ended December 31, 2009, and the auditors’ report thereon;
2. to receive the reports of the directors;
3. to elect the Festival Director;
4. to elect two Regional Directors for each Region; and
5. to transact such other business as may properly be brought before the Meeting of any adjournment thereof.

Nominations: DBC will post to its website, by June 24, 2010, a list of all eligible individuals nominated for election as Regional Directors and Festival Director.

Who Can Attend and Participate: All Members (whether - Club, Festival, Individual, Corporate or Honorary) of DBC can attend and participate in the Meeting.

Who Can Vote: Club Members are entitled to vote on all matters brought before the Meeting, except the election of the Festival Director. The number of votes that a Club is entitled to cast at the Meeting is based on the number of Individual Members of that Club shown on DBC’s records as being in good standing with DBC at least 30 days before the Meeting. Each Festival Member is entitled to one vote for the election of the Festival Director. Festival Members are not entitled to vote on any other matters brought before the Meeting.
